In the past, apart from M&A transactions and day-to-day corporate projects, Alesya also co-chaired German Desk and chaired Employment at one of the top-5 law firms in Ukraine, supporting foreign investors.
She personally invested a lot of efforts into the on-site implementation of the corporate law reform in Ukraine (including shareholders' agreements and the squeeze-out projects), aiming to raise the national investment climate index. As part of both corporate and employment teams, she also handled internal investigations, controversial and complex dismissals of the C-suite executives, worked on management incentives programs and corporate governance projects for subsidiaries of multinationals.
Alesya is the Head of the Legal Committee and Board Member at AHK Ukraine – German-Ukrainian Chamber of Industry and Commerce and is engaged in active liaison with the DACH countries’ embassies towards building robust inter-country business cooperation and mutual development.
Acting for IBM (Ukrainian jurisdiction) on the global separation and reorganization of Kyndryl Holdings, Inc., due to the spin-off of Kyndryl into a separate publicly-traded company.*
Acting for Zeppelin International AG in a significant M&A deal in Ukraine, legal counseling on the squeeze-out and management of the post-acquisition integration of the target into Zeppelin Group.*
Acting for STADA (Germany) in the acquisition of non-plasma pharmaceutical business from Biopharma (Ukraine). It was the largest transaction in the Ukrainian pharmaceutical business for its history. *
Advising Bel (France) on reorganization (merger) of two private joint stock companies in Ukraine. The project was significantly complicated by quasi-treasury shares in the shareholding structure.*
Acting for OSI International Holding GmbH (Germany) while executing the squeeze-out and internal restructuring of the Ukrainian part of its business group (reorganization of a JSC into an LLC).*
Acting for Burda International Holding GmbH supporting management buyout of the Ukrainian part of Hubert Burda Media business, including a prior debt-to-equity swap.*
