The last few years have been a turbulent time for business transfers under Part VII of FSMA. Brexit has led to a fundamental alteration in the scope of the transfers that can be implemented; the UK regulators have continued to elaborate and expand their expectations for applicants; and the UK courts have demonstrated how absolute their discretion to decide the outcome of a scheme really is.
At the same time, the volume of Part VIIs carried out has remained high, not least as a result of the many schemes carried out in response to Brexit, and the scope and flexibility of the regime remains at the forefront of equivalent regimes worldwide.
