Current Issues in M&A
This session will examine emerging issues and current trends in M&A transactions, including the corporate alternative minimum tax (“CAMT”) and the share repurchase excise tax, with an additional focus on continuing issues associated with the 2017 Tax Act and Biden Administration developments. After completing this session, participants will be able to:

  • Assess the impact of the CAMT on M&A transactions.
  • Structure M&A transactions taking into account Biden Administration developments.
  • Anticipate the share repurchase excise tax’s effect on M&A transactions.
