Matthew Madden is a seasoned litigator with a track record of successfully handling high-stakes trial, appellate, and enforcement matters. With deep expertise in bankruptcy and investment-related litigation, securities class actions, auditor defense, and complex commercial disputes – such as contract disputes, business torts, and fiduciary duty claims – Matt is known for delivering results in even the most challenging cases.

A trusted advisor to businesses, Matt represents clients before the U.S. Supreme Court and in appellate courts across the country. He has earned a reputation for his strategic and decisive approach, having achieved major victories in landmark cases. Notably, he successfully argued and secured a unanimous U.S. Supreme Court ruling on pivotal bankruptcy case conversions, solidifying his position as a leader in the field.

Matt specializes in representing bondholders, creditors, and debtors in complex litigation around corporate and municipal reorganizations across a variety of industries. His experience includes defending major public companies and their directors and officers in securities class actions, stockholder derivative suits, and shareholder demands for corporate records. He also offers strategic defense for accounting firms and professionals in securities litigation, SEC, and PCAOB investigations, and client disputes.

Representative experience

Argued and won a unanimous U.S. Supreme Court bankruptcy decision in Harris v. Viegelahn, 575 U.S. 498 (2015), concerning the conversion of cases from Chapter 13 to Chapter 7 of the Bankruptcy Code.*

Obtained, as lead counsel to a startup company, a federal court’s dismissal of a consumer class action seeking more than US$4 billion in damages for alleged unfair and deceptive trade practices.*

Represented holders of US$3B in PREPA bonds during restructuring, defending lien challenge, litigating claim estimation, and briefing objections to the plan.*

Represented all defendants in a US$1.5 billion class action and derivative suit over alleged improper admission practices at 200+ behavioral health facilities, securing dismissal of both cases.*

Defended a public company hospital system in a securities class action seeking more than US$1 billion in damages, based on alleged misleading statements about hospital billing practices.*

Defended a bank and its senior officers in a US$500 million suit over a canceled wire transfer to an entity claiming to supply 100 million N95 masks, securing full dismissal on summary judgment.*

Argued and won a D.C. Circuit appeal on behalf of the Republic of Djibouti involving the confirmation of a foreign arbitration award.*

Argued and won an Eleventh Circuit criminal-sentencing appeal, and subsequently obtained the client’s immediate release over the government’s objection.*

Argued and won a petition for review of agency action in the D.C. Court of Appeals on behalf of a startup software company serving independent drivers in the ride-share industry.*

Represented all defendants in a securities class action against an electronics company, alleging illegal channel stuffing and seeking hundreds of millions, securing dismissal on a motion to dismiss.*

Represented bondholders, shareholders, and others in appeals from the bankruptcies of an investment firm, manufacturer, media group, telecom, and lumber company.*

Defended public company directors and officers against a stockholder derivative action alleging excessive compensation.*

Represented a major accounting firm and its current and former employees during SEC investigations involving the firm’s public-company audits or Appendix K reviews.*

Represented Delaware corporations in connection with books-and-records demands from stockholders, including limiting demands at a hearing before the Court of Chancery.*

Represented Alta Mesa Holdings LP as special litigation counsel in Chapter 11, analyzing claims, examining the CRO at a US$320 million sale hearing, and handling multiple adversary proceedings.*

Represented a large investment fund as lead counsel in breach-of-contract litigation over defaulted Venezuela bonds pending in the U.S. District Court for the Southern District of New York.*

Represented insured bondholders as lead counsel in challenging a monoline insurer’s purported acceleration of obligations to pay claims.*

Defended multiple investment funds in breach-of-contract cases involving alleged trades of term loans, claim participations, and other investments.*
