Hogan Lovells advises Commerz Real on Investment in Amprio

Led by Berlin partner Dr. Mathias Schönhaus, global law firm Hogan Lovells has advised Commerz Real AG – a subsidiary of Commerzbank and a leading European asset manager for real estate and renewable energies – on its acquisition of a stake in the transmission system operator Amprion.

Through its infrastructure fund Klimavest, Commerz Real acquired approximately 6 percent of the shares in M31 Beteiligungsgesellschaft. This corresponds to an indirect stake of approximately 4.5 percent in Amprion. The seller, Ärztliche Beteiligungsgesellschaft (AEBG), remains the largest shareholder in M31. M31 holds approximately 75 percent of the shares in Amprion; the remaining shares are held by RWE.

Hogan Lovells provided comprehensive advice to Commerz Real on German and Luxembourg tax law. The advisory services included tax due diligence, transaction structuring, and acquisition documentation. Dr. Mathias Schönhaus and his team worked closely with Commerz Real’s tax department in Luxembourg.
