Hogan Lovells advises FLEX Capital on the acquisition of Simovative GmbH

Led by Hamburg partner Dr Jan Philipp Feigen and Munich counsel Dr Philipp Strümpell, global law firm Hogan Lovells has advised a fund advised by FLEX Capital on the acquisition of a majority stake in Simovative GmbH, a leading and founder-led software company in the field of campus management. The parties have agreed not to disclose the purchase price.

Simovative has been active in the digitalisation of higher education processes for over 20 years and has since become a market leader in the field of campus management software. Many European universities rely on Simovative’s modular academyFIVE platform, which supports universities in all critical processes such as data management, course and room planning, examination administration and mobile applications via the CampusWEB app. Thanks to numerous customisation options, the software integrates seamlessly into universities' existing IT system landscapes. Simovative has built up a customer base consisting mainly of private universities in the DACH region and enjoys a high level of customer loyalty. Private universities in particular are showing strong demand for cloud-based solutions, but digital transformation is also increasingly affecting state universities.

FLEX Capital is a private equity fund founded by experienced entrepreneurs investing in profitable and growing German internet and software SMEs. Announced in early 2023, the second fund totalling EUR 300 million includes a commercial structure that enables FLEX Capital to provide operational support to portfolio companies with a dedicated team of 30 experts, setting the investor apart from many other private equity funds. The FLEX portfolio currently comprises seven company platforms.
