Hogan Lovells Partner Maria Sit Secures Landmark Victory for Asia Cement Corporation in Hong Kong High Court

Hogan Lovells partner Maria Sit has secured a landmark victory for Asia Cement Corporation (ACC) in the Hong Kong High Court, successfully defending allegations of, among others, unlawful means conspiracy in one of the most significant shareholder disputes in over a decade.

The case was brought by China Shanshui Cement Group Limited (Shanshui) and three subsidiaries under a new board backed by shareholder Tianrui (International) Holding Co Ltd. It formed part of a long-running multijurisdictional dispute for control over Shanshui, a Hong Kong-listed company that is one of China’s largest cement companies.

Following a 35-day trial, the Court rejected claims that ACC, China National Building Materials Company Limited and certain former directors conspired to maintain control of Shanshui through an unlawful conspiracy or breached their fiduciary duties. The Court found that “the claim formulated was essentially unsustainable and should never have been advanced” as there was no evidence of agency or improper conduct by the directors alleged to be affiliated with ACC.

This judgment adds to a series of significant decisions arising from the Shanshui saga and sets a clear precedent on the legal threshold for unlawful means conspiracy claims in Hong Kong. Related proceedings continue before the Grand Court of the Cayman Islands, and Hong Kong with representation from Hogan Lovells.
