Next Level Procurement: Hogan Lovells advises Beroe on the acquisition of AI start-up nnamu

Press releases | 22 April 2025

Led by Dr. Heiko Tschauner and Dr. Franz Hackl, global law firm Hogan Lovells has advised the US-based Beroe Group on the acquisition of Munich start-up nnamu GmbH.

With its German subsidiary Beroe X nnamu GmbH, the Beroe Group took over the business operations of nnamu GmbH with all employees by way of an asset deal.

nnamu GmbH has developed the world's first AI agent that uses game theory principles to recommend optimised negotiation strategies to companies. It is based on a unique data set from over 2,000 negotiations worth more than € 400 billion, collected over 20 years by experts in game theory and economics.

With this acquisition, the Beroe Group is expanding its range of services in the field of procurement intelligence and strengthening its position as a leading global provider and strategic partner for efficient, technology-driven procurement processes. The transaction also marks the strategically important entry into the German market and the expansion of the Beroe Group's presence in Europe.

Hogan Lovells advised the Beroe Group on all aspects of the negotiation and finalisation of the asset purchase and transfer agreement as well as on the corporate structuring and integration of the target in the group.

Dr. Heiko Tschauner and Dr. Franz Hackl commented: "This transaction was remarkable in several respects: it had a strong international context, had to be completed within a tight timeframe, and it was strategically important for our client. We are all the more pleased to have successfully guided the Beroe Group through this demanding process in only a short time."
