Stephen is a senior associate in our International Debt Capital Markets group in London with more than 12 years' experience of advising arrangers and lead managers, bank and non-bank lenders, originators, sponsors and hedge counterparties on securitisation, structured finance, repackaging and other debt finance transactions. He has worked on deals involving a variety of underlying assets including automotive loans, equipment leases, SME loans, BNPL loans, aircraft leases and residential, commercial and agricultural property, as well as innovative financing structures relating to insurance, bullion and commodities among others.

Since joining the firm, Stephen has undertaken secondments to the Structured Capital Markets legal team at Lloyds Bank, to the Legal Department at Ford Credit (FCE) and to Hogan Lovells’ Tokyo office.

Representative experience

Advising Citi as arranger and the JLMs on all securitisations to date of automotive receivables originated by Oodle Finance, through Dowson 2019-1, Dowson 2020-1 and Dowson 2021-1, 2022-1 and 2022-2

Advising an ad hoc group of noteholders on the multi-jurisdictional financial restructuring of Atento, a leading global business process outsourcer, including $70m interim and rescue financings

Advising the senior lender on an innovative securitisation of auto lease receivables, purchased out of an unusual JV structure between a major OEM and finance company, structured as off-balance sheet

Advising a syndicate of four European and US banks on a warehouse facility relating to automotive receivables originated by the captive finance company of a major electric vehicle manufacturer

Advising the lender on a EUR 150m securitisation of receivables originated on a leading BNPL and flexible payments platform in Spain

Advising the arranger, hedge counterparty and lender in relation to a $110m bullion forward purchase and loan transaction to finance the redevelopment of a silver smelting plant

Advising the lender on a new private warehouse facility relating to UK dealer floorplan receivables for an established UK consumer auto lender

Advising the lender on various warehouse facilities in respect of SME equipment lease and working capital loans, including loans guaranteed by the UK Government under the CBILS and RLS schemes

Advising on a £2bn forward flow transaction relating to lifetime mortgage loans and a subsequent multi-series term securitisation programme

Advising the UK Government as guarantor in various transactions involving the debt capital markets financing of more than 25 Airbus aircraft

Advising Citibank and the JLMs on Azure Finance No 2 plc a £200m STS public securitisation of UK automotive HP receivables

Advising a major financial institution as arranger on a £500m securitisation of a portfolio of agricultural mortgage loans

Advising the lender on a pan-European asset backed loan note facility relating to electric scooters made available for public hire in various European countries

Advising banks, borrowers and hedge counterparties on the hedging arrangements for various types of finance transaction
