Hogan Lovells advises AMG Critical Materials N.V. on the repurchase of a 40% stake in its subsidiary Graphit Kropfmühl GmbH

Led by partner Dr. Michael Rose, global law firm Hogan Lovells has advised AMG Critical Materials N.V. on the repurchase of a 40% stake in Graphit Kropfmühl GmbH from an affiliate of Alterna Capital Partners.

The purchase price will be paid in cash at the end of a three-year period or, at the discretion of AMG Critical Materials N.V., through the issuance of shares in AMG Critical Materials N.V. within this period.

Graphit Kropfmühl GmbH extracts and refines natural graphite, processes and refines synthetic graphite, and produces dispersions, pastes and lubricant premixes in powder form. The Company operates its own mine at its headquarters in Kropfmühl, Germany, and holds majority stake-holdings in graphite mines in Sri Lanka. Since 2008, the company has been part of AMG Critical Materials N.V. 

Hogan Lovells provided comprehensive legal advice to AMG Critical Materials N.V. on all aspects of the transaction governed by German law, while De Brauw Blackstone Westbroek advised on matters governed by Dutch law.
